Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, messaging and voice services provided by Latitude Tel (ABN 47 177 884 471) ("Latitude Tel", "we", "us"). By using our services you agree to these Terms.
1. Services
We provide enterprise communications services including A2P SMS, Voice & SMS OTP, VoIP and RCS messaging. Specific commercial terms, rates and service levels are set out in your order form or service agreement, which forms part of these Terms.
2. Acceptable use
You agree not to use our services to send unlawful, fraudulent, misleading or unsolicited messages, or content that infringes the rights of others. You must comply with all applicable laws and regulations, including the Spam Act 2003 (Cth), ACMA rules and carrier requirements, and must obtain and maintain valid recipient consent where required.
3. Your responsibilities
- Keep API keys and account credentials secure.
- Ensure the accuracy of recipient data and honour opt-out requests.
- Use sender IDs you are authorised to use.
4. Fees & billing
Fees are charged on a usage basis as described in your order form or current rate card. Unless stated otherwise, fees are in Australian dollars and exclusive of GST. Invoices are payable by the due date stated; we may suspend services for overdue accounts.
5. Service levels & availability
We aim for high availability and may offer a service level agreement to eligible customers. Carrier and third-party network performance is outside our direct control, and we are not liable for delays or failures attributable to such networks.
6. Suspension & termination
We may suspend or terminate access for breach of these Terms, suspected fraud or abuse, or where required by a carrier or by law. You may terminate in accordance with your service agreement.
7. Intellectual property
All intellectual property in our website, platform and documentation remains our property or that of our licensors. You retain ownership of your content and data.
8. Liability
Nothing in these Terms excludes rights you have under the Australian Consumer Law. To the extent permitted by law, our liability is limited to the resupply of the services or the cost of resupply, and we are not liable for indirect or consequential loss.
9. Privacy
Our handling of personal information is described in our Privacy Policy.
10. Governing law
These Terms are governed by the laws of Victoria, Australia, and the parties submit to the non-exclusive jurisdiction of its courts.
